IMPORTANT SGM UPDATE AND FORUM INFORMATION

IMPORTANT SGM UPDATE AND FORUM INFORMATION

Last week information was shared in the members' hub and sent out by email to members regarding the forthcoming Special General Meeting (SGM) that the Club will be holding on 26 June 2025 as a result of a petition received from a little over 100 members to call an SGM to discuss the England and Wales Cricket’s Board’s (ECB) current review into the domestic playing structure from 2026 onwards.

The members' petition included two resolutions which will need to be voted on at the forthcoming SGM.

The Club wishes to apologise for an unintentional oversight in omitting to send members the complete wording of the members' petition, as it should have done when distributing the formal notice of the SGM, in accordance with Club Rule 22.10.3.

To rectify this matter, please find a link HERE to the members' full petition, and another link to the notice of the Special General Meeting HERE.

Whilst this oversight is regrettable, it does not affect the meeting date, the validity of the SGM notice or the proxy votes already submitted.

All voting members are invited to attend the SGM and forum in person, or watch online via the live stream provided. Members unable to attend can cast a proxy vote in advance of the meeting on the resolutions.

Many members have already cast their proxy votes following receipt of the information sent last week, however any members wishing to cast their proxy votes again, having now been able to review the members' petition in full, can do so via this link HERE. This vote will be accepted as your proxy vote at the SGM and will supersede any previous proxy vote submitted.

To confirm, the Board of MCCC has been advised that the wording of both resolutions put forward by the members conflicts with their fiduciary duties as Directors to consider the views of all stakeholders when making such decisions. Regrettably, therefore, the Board is obliged for legal reasons to oppose these resolutions and to request members to vote against them.

However, to demonstrate the importance of members’ views when considering changes to the domestic structure, the Board is proposing a third resolution that is worded in a way that that does not conflict with Directors’ fiduciary duties.

The three resolutions to be voted on at the SGM are therefore as follows:

  1. The Club shall oppose any proposal reducing the number of County Championship games (members' resolution)
  2. The Club shall oppose any proposal reducing the number of T20 Blast games (members' resolution)
  3. The Board of MCCC shall give serious consideration to individual members’ views when voting on any proposed changes to the domestic cricket structure (Board resolution)

The Club and its Board remain committed to working with its members and its wider stakeholders throughout this process.

We once again apologise for this unintentional oversight, and for ease, you can view the members' petition, the SGM notice and cast your proxy vote again via the links below...
